Privaata Subscription & Billing Policy

This Subscription & Billing Policy (“Policy”) explains the subscription, trial, payment, renewal, usage and billing practices applicable to Privaata, a software-as-a-service platform operated by Kinfolk Technologies Limited (“Kinfolk Technologies,” “we,” “us,” or “our”).
This Policy should be read together with the Privaata Terms of Service and Refund & Cancellation Policy.
By purchasing a Privaata subscription, beginning a trial that automatically converts to a paid subscription, or otherwise authorizing recurring payments for Privaata, the Customer agrees to the billing practices described in this Policy.
1. Subscription-Based Service
Privaata is offered as a subscription-based software service.
Depending on the plan or commercial arrangement selected, a Customer may subscribe on a:
monthly basis;
annual basis; or
separately negotiated enterprise billing schedule.
The applicable subscription price, billing frequency and included features will be displayed before purchase or specified in an applicable order form or enterprise agreement.
2. Subscription Plans
Privaata may offer multiple subscription plans designed for different organizational needs.
Plans may differ according to matters such as:
available modules and functionality;
number of users;
number of legal entities;
AI usage allowances;
integrations;
automation capacity;
storage;
reporting features;
support level;
administrative functionality; and
other usage limits.
Kinfolk Technologies may introduce, modify or discontinue subscription plans as Privaata evolves, subject to existing contractual commitments and applicable law.
3. Pricing Currency
Unless otherwise displayed or agreed in writing, Privaata subscription prices are quoted and charged in United States dollars (USD).
A Customer’s bank, card issuer or other payment provider may convert a USD transaction into another currency.
Where currency conversion occurs, the Customer’s financial institution may determine the applicable exchange rate and may impose currency-conversion, international transaction or other charges.
Such charges are imposed by the Customer’s financial institution and are not Privaata subscription fees charged by Kinfolk Technologies.
4. Monthly Subscriptions
Monthly subscriptions are billed in advance for each applicable monthly billing period.
Unless cancelled, a monthly subscription automatically renews at the end of each billing period and the Customer’s authorized payment method may be charged for the next billing period.
The applicable renewal amount will ordinarily reflect the Customer’s current plan, authorized add-ons, applicable taxes and any properly applicable pricing changes.
5. Annual Subscriptions
Annual subscriptions are billed in advance for the applicable annual subscription period.
Unless cancelled before renewal, an annual subscription automatically renews at the end of its subscription period and the Customer’s authorized payment method may be charged for the next annual period.
Annual pricing may offer a financial advantage compared with purchasing the equivalent service month-to-month.
However, no particular annual discount is guaranteed by this Policy.
The applicable annual price and any discount will be the price displayed at purchase or renewal, or specified in an applicable written agreement.
6. Seven-Day Free Trial
Eligible Customers may receive a seven-day free trial.
A valid payment method is required to begin the trial.
Before the trial begins, Privaata should clearly identify the applicable paid plan, billing frequency and price that will apply following the trial.
Unless cancelled before the trial expires, the trial will automatically convert to the selected paid monthly or annual subscription.
The Customer authorizes the applicable subscription charge when agreeing to the trial and its automatic conversion terms.
7. Cancelling During the Free Trial
Customers may cancel before the seven-day trial expires to prevent the trial from converting to a paid subscription.
If properly cancelled before conversion, the Customer will not be charged the initial subscription fee associated with that trial conversion.
Trial cancellation and access following cancellation will operate according to the applicable product configuration and Refund & Cancellation Policy.
8. Automatic Renewal
Privaata subscriptions automatically renew unless cancelled.
By purchasing a recurring subscription or allowing a free trial to convert to a paid subscription, the Customer authorizes Kinfolk Technologies and its authorized payment providers to process recurring charges for the applicable subscription.
The authorization continues until the subscription is properly cancelled or otherwise terminated.
Cancellation stops future renewal charges but does not ordinarily reverse charges properly incurred before cancellation.
9. Annual Renewal Reminders
Kinfolk Technologies intends to provide Customers with advance notice before an annual subscription automatically renews.
Annual renewal reminders should ordinarily be sent approximately 7 to 30 days before renewal.
The reminder may identify information such as:
upcoming renewal date;
applicable plan;
billing frequency;
renewal price or information on where it can be reviewed; and
instructions for managing or cancelling the subscription.
Customers remain responsible for maintaining a current email address and appropriate billing contact.
Monthly subscriptions may renew without a separate pre-renewal reminder, subject to applicable law.
10. Payment Authorization
By providing a payment method and purchasing or activating an applicable subscription, the Customer authorizes Kinfolk Technologies and its authorized payment providers to charge that payment method for amounts properly due.
These may include:
subscription fees;
renewal fees;
authorized plan upgrades;
authorized add-ons;
additional usage purchased by the Customer;
applicable taxes; and
other charges expressly authorized by the Customer.
Kinfolk Technologies will not knowingly use a Customer’s payment authorization to charge unrelated products or services that the Customer did not authorize.
11. Payment Processing
Payment transactions may be processed through authorized third-party payment providers, acquiring banks, card networks and other financial institutions.
Where Privaata uses a hosted payment environment, payment-card credentials may be entered directly into the payment provider’s environment.
Privaata may receive information necessary to manage the transaction and subscription, such as:
transaction or order identifiers;
transaction status;
payment amount;
currency;
card type;
limited card information where provided by the payment processor;
authorization information;
recurring-payment references; and
other billing metadata.
Privaata does not need or intend to receive or store complete payment-card numbers or card security codes through its ordinary hosted payment flow.
12. Recurring Payment Authorization
Where the Customer purchases a recurring subscription, the Customer authorizes recurring payment processing for the applicable billing schedule.
The Customer does not need to manually re-enter payment-card information for every properly authorized recurring charge where the payment provider supports secure recurring billing.
Recurring payment credentials or references may be managed by the authorized payment provider rather than by Privaata itself.
13. Electronic Receipts and Billing Records
Following a successful payment, Kinfolk Technologies will ordinarily provide an electronic receipt, payment confirmation or equivalent transaction record.
Where supported, invoices and transaction records may also be made available electronically.
Records may include information such as:
Kinfolk Technologies or Privaata business identification;
processing date;
order or transaction number;
subscription information;
amount;
currency;
payment status;
card type or other permitted limited payment information; and
authorization or approval information where appropriate.
Customers should retain relevant records for their accounting and administrative purposes.
14. Failed or Declined Payments
If a subscription payment fails or is declined, Kinfolk Technologies may notify the Customer and request that the payment method be updated or the outstanding balance otherwise resolved.
Unless circumstances require otherwise, Privaata will ordinarily provide a seven-day grace period following a failed recurring payment before paid access is suspended.
During the grace period, the Customer may continue to have access while the payment issue is being resolved.
Providing a grace period does not waive the amount properly due.
15. Payment Retries
Where authorized and appropriate, Kinfolk Technologies or its payment provider may retry a failed recurring payment during the applicable grace period.
Retries should be performed reasonably and with regard to information received from the payment processor.
Privaata should not indiscriminately repeat transactions where the payment provider indicates a hard decline, invalid payment credential, suspected fraud or another circumstance in which retrying the same transaction is inappropriate.
Customers may be asked to provide an alternative or updated payment method instead.
16. Suspension for Non-Payment
If an outstanding subscription payment remains unresolved after the applicable grace period, Kinfolk Technologies may restrict or suspend paid access.
Where practical, the Customer should receive notice before suspension.
Suspension for non-payment does not automatically cancel amounts properly due.
Once the billing issue is resolved, Kinfolk Technologies may restore access subject to account status, data-retention periods and other applicable terms.
17. Subscription Cancellation
Customers may cancel a Privaata subscription at any time.
Cancellation ordinarily prevents the next renewal rather than terminating the current paid period immediately.
Unless otherwise required by law or agreed in writing, a Customer who cancels may continue using Privaata through the end of the subscription period already paid for.
Detailed cancellation and refund rules are contained in the Privaata Refund & Cancellation Policy.
18. No General Proration for Cancellation
Cancelling before the end of a paid billing period does not ordinarily entitle the Customer to a prorated refund for unused time.
For example, cancelling an annual subscription several months into the annual term ordinarily stops the next annual renewal but does not result in an automatic refund for the unused portion of the current annual term.
Exceptions may apply where required by law, expressly agreed in writing, or approved under the Refund & Cancellation Policy.
19. Plan Upgrades
Where supported, a Customer may upgrade to a higher Privaata plan during an active subscription.
An upgrade may take effect immediately.
Kinfolk Technologies may charge an appropriate prorated amount representing the difference between the existing subscription and the upgraded subscription for the remainder of the current billing period.
The new plan price will then apply to subsequent renewals unless otherwise stated.
Before confirming an upgrade, Privaata should display or otherwise communicate the applicable charge where reasonably practicable.
20. Plan Downgrades
Where supported, Customers may request a downgrade.
A downgrade will ordinarily take effect at the next subscription renewal rather than immediately.
No refund is ordinarily issued solely because a Customer requests a lower-priced plan during an already-paid subscription period.
A downgrade may affect:
users;
integrations;
storage;
AI allowances;
legal entities;
automation;
modules;
reporting;
support; and
other plan-specific functionality.
Customers should review those effects before confirming a downgrade.
21. Usage Allowances
Certain subscription plans may include specified usage allowances.
These may relate to:
AI usage;
number of users;
integrations;
legal entities;
storage;
automated workflows;
data processing;
reports;
API usage; or
other measurable functionality.
Applicable allowances should be displayed in the relevant plan information, product interface, order form or agreement.
22. Reaching a Usage Limit
Reaching a plan-specific usage limit does not necessarily require suspension of the Customer’s entire workspace.
Depending on the feature and plan, Kinfolk Technologies may:
temporarily restrict the affected feature;
allow the Customer to upgrade;
offer additional capacity;
offer a paid add-on;
permit additional usage subject to an authorized charge; or
provide another reasonable option.
Where reasonably practicable, Privaata should alert Customers as they approach significant usage limits.
23. Additional AI Usage
Certain plans may include a defined amount of AI usage.
Where available, Customers who exhaust their included AI allowance may be permitted to purchase additional AI usage without upgrading their entire subscription.
The price, quantity and applicable conditions of additional AI capacity will be displayed before purchase.
Purchasing additional AI usage does not necessarily change the Customer’s underlying subscription plan.
Kinfolk Technologies may adjust the structure of AI allowances and add-ons as AI infrastructure, functionality and costs evolve, subject to existing purchases and applicable agreements.
24. No Unauthorized Overages
Privaata should not intentionally impose an unexpected paid usage charge merely because a Customer exceeded an included allowance unless the Customer has previously authorized such overage billing or otherwise agreed to the applicable charge.
Where paid overages are supported, the applicable pricing and authorization mechanism should be communicated before the charge is incurred.
This does not prevent Privaata from restricting the relevant functionality once an included allowance has been exhausted.
25. Taxes
Unless expressly stated otherwise, displayed Privaata prices are exclusive of applicable taxes.
Where Kinfolk Technologies is legally required to collect a tax, levy, duty or similar governmental charge in connection with a subscription, the applicable amount may be added to the Customer’s charge.
Customers are responsible for taxes applicable to their purchase except taxes imposed on Kinfolk Technologies’ own income.
Tax treatment may differ according to the Customer’s jurisdiction, status and applicable law.
26. Price Changes
Kinfolk Technologies may change Privaata’s subscription prices from time to time.
A price change will not ordinarily alter the price of an already-paid subscription period.
For an existing Customer, a new subscription price will generally take effect at the next applicable renewal after the price change becomes effective.
Kinfolk Technologies will provide reasonable advance notice of a material price increase affecting an existing recurring subscription where required by law, contract or reasonable commercial practice.
The Customer may cancel before renewal if it does not wish to continue at the new price.
27. Promotional Pricing and Discounts
Kinfolk Technologies may occasionally offer:
promotional prices;
discounts;
introductory offers;
annual pricing incentives;
credits;
coupons; or
other commercial offers.
Unless expressly stated otherwise, a promotional price applies only according to the terms of that particular promotion.
A promotion does not create an entitlement to receive the same discount indefinitely or on future renewals.
28. Billing Errors and Duplicate Charges
Customers should promptly report suspected:
duplicate charges;
incorrect amounts;
incorrect subscription charges;
unauthorized transactions;
billing-system errors; or
other payment discrepancies.

Kinfolk Technologies will review reported billing issues and, where an error is confirmed, take an appropriate corrective action in accordance with the Refund & Cancellation Policy.
29. Accidental Renewals
Automatic renewal is part of the subscription arrangement and therefore a properly processed renewal is not automatically considered a billing error.
However, Kinfolk Technologies may review a reported accidental renewal on a case-by-case basis.
Factors such as timing, account usage, circumstances of the request, applicable law and payment status may be considered.
Submitting a request does not guarantee a refund.
30. Refunds
Privaata does not provide a general money-back guarantee.
Refund eligibility, duplicate payments, incorrect charges, accidental renewals, service-related remedies and refund processing are governed by the separate Privaata Refund & Cancellation Policy.
Nothing in this Policy limits refund or cancellation rights that cannot lawfully be excluded.
31. Service Outages and Billing
A temporary service interruption does not automatically entitle a Customer to a refund.
Where a significant service outage materially affects a Customer, Kinfolk Technologies may assess the circumstances and determine an appropriate remedy.
Depending on the circumstances, a remedy may include:
account credit;
service extension;
partial refund;
full refund; or
another reasonable remedy.
Enterprise Customers may have separate service-credit provisions under an applicable SLA or enterprise agreement.
32. Updating Payment Information
Customers are responsible for maintaining a valid payment method for recurring subscriptions.
Where supported, Customers may update their payment information through Privaata or an authorized payment-provider interface.
Customers should not send complete card numbers, CVV/CVC security codes or other sensitive payment credentials to Kinfolk Technologies by ordinary email.
33. Chargebacks and Payment Disputes
Customers should contact Kinfolk Technologies promptly if they believe a charge is incorrect.
Initiating a chargeback does not automatically cancel a Privaata subscription.
Where a chargeback, payment reversal or dispute occurs, Kinfolk Technologies may investigate the transaction and provide relevant transaction records to the payment provider, acquiring bank or card network as reasonably necessary to respond to the dispute.
Fraudulent or abusive chargeback activity may result in account restriction or suspension where permitted by law and the Terms of Service.
Nothing in this section prevents a Customer from exercising legitimate rights available through its card issuer or applicable law.
34. Enterprise Billing
Enterprise Customers may have separately negotiated commercial terms.
An enterprise agreement, order form or other written agreement may establish different provisions concerning:
pricing;
invoicing;
billing frequency;
payment methods;
payment deadlines;
purchase orders;
usage;
minimum commitments;
renewals;
taxes;
credits;
cancellation; or
other commercial matters.
Where an applicable signed enterprise agreement expressly conflicts with this Policy, the enterprise agreement governs the conflict.
35. Customer Billing Responsibilities
Customers are responsible for:
maintaining accurate billing information;
maintaining an appropriate billing contact;
reviewing subscription details before purchase;
keeping payment information current;
reviewing invoices and receipts;
monitoring relevant usage allowances;
cancelling before renewal when they do not wish to continue; and
promptly reporting suspected billing errors.
Failure to use a subscription after it has been properly activated does not ordinarily relieve the Customer of applicable subscription charges.
36. Relationship to Other Privaata Policies
This Policy forms part of Privaata’s broader contractual framework and should be read with the:
Privaata Terms of Service;
Privaata Refund & Cancellation Policy;
Privaata Digital Service Delivery Policy;
Privaata Privacy Policy; and
any applicable enterprise agreement or order form.
If an applicable separately executed agreement contains different billing terms, that agreement will govern to the extent of the conflict.
37. Changes to This Policy
Kinfolk Technologies may update this Policy as Privaata’s subscription plans, payment infrastructure, pricing or functionality evolves.
The “Last Updated” date identifies the current version.
Material changes affecting existing subscriptions will be communicated where required by applicable law or agreement.
Changes will not retroactively create charges that a Customer did not authorize.
