Privaata Refund & Cancellation Policy

This Refund & Cancellation Policy (“Policy”) explains the rules governing free trials, subscription cancellations, automatic renewals, refunds, billing errors, failed payments, plan changes and related payment matters for Privaata, a software-as-a-service platform provided by Kinfolk Technologies Limited (“Kinfolk Technologies,” “we,” “us,” or “our”).
By purchasing or maintaining a paid Privaata subscription, you agree to the billing and cancellation terms described in this Policy, together with Privaata’s Terms of Service and any other agreement applicable to your subscription.
Privaata is a digital software service. We do not sell physical goods through a Privaata subscription. Accordingly, physical product returns do not apply. This Policy instead governs cancellation of digital subscriptions and the circumstances in which payments may be refunded or otherwise adjusted.
1. Scope
This Policy applies to customers who purchase a Privaata subscription directly from Kinfolk Technologies Limited through Privaata or another payment channel expressly authorized by us.
Privaata may offer:
monthly subscriptions;
annual subscriptions;
free trials that convert to paid subscriptions;
different subscription plans or service tiers; and
separately negotiated organizational or enterprise subscriptions.
If Kinfolk Technologies Limited and a customer enter into a separate written agreement, order form, enterprise agreement or other contract containing specific billing, cancellation or refund provisions, that agreement will govern to the extent that its provisions conflict with this Policy.
2. Subscription Billing
Paid Privaata subscriptions are billed in advance for the applicable subscription period unless otherwise expressly stated.
Customers may select an available monthly or annual billing cycle.
Before a customer confirms a paid subscription, Privaata will display or otherwise make available the applicable subscription price, billing frequency and currency.
A monthly subscription authorizes the applicable recurring monthly charge until the subscription is cancelled.
An annual subscription authorizes the applicable recurring annual charge until the subscription is cancelled.
Applicable taxes or other charges may be added where required by law.
3. Seven-Day Free Trial
Where offered, eligible customers may begin a Privaata subscription with a seven-day free trial.
A valid payment method is required to begin the trial.
The customer will not be charged the applicable subscription fee at the beginning of the seven-day trial. Unless the customer cancels before the trial expires, the trial will automatically convert to the paid monthly or annual subscription selected during registration.
Before the customer begins the trial, Privaata will clearly disclose the subscription plan selected, applicable price, billing frequency and the fact that the subscription will automatically become paid unless cancelled before the end of the trial.
By beginning a free trial and providing or authorizing a payment method, the customer authorizes Kinfolk Technologies Limited and its authorized payment service providers to charge the applicable subscription fee when the trial ends if the subscription has not been cancelled.
Customers who do not wish to become paid subscribers must cancel before the seven-day trial expires.
4. Cancellation During the Free Trial
A customer may cancel an eligible free trial at any time before the trial expires.
If cancellation is successfully completed before the trial converts to a paid subscription, the customer will not be charged the subscription fee associated with that conversion.
Access to Privaata may end immediately upon cancellation of a free trial or at the conclusion of the trial period, depending on the manner in which the service is configured.
Once the trial has expired and the first paid subscription charge has been successfully processed, the subscription becomes subject to the standard paid-subscription cancellation and refund provisions in this Policy.
5. Automatic Renewal
Unless expressly identified otherwise, paid Privaata subscriptions automatically renew at the end of each applicable billing period.
Monthly subscriptions ordinarily renew each month.
Annual subscriptions ordinarily renew each year.
By maintaining an automatically renewing subscription, the customer authorizes Kinfolk Technologies Limited and its authorized payment service providers to charge the authorized payment method for the applicable subscription fees when they become due.
Automatic renewal continues until the customer cancels the subscription or the subscription is otherwise terminated.
Customers are responsible for cancelling subscriptions they no longer wish to renew.
6. Payment Processing
Kinfolk Technologies Limited may use authorized third-party payment service providers, financial institutions, acquiring banks and card networks to process payments for Privaata.
Where a hosted payment service is used, customers may enter their payment-card information into a payment environment operated by the applicable payment provider rather than directly into Privaata.
Our payment infrastructure may use secure payment tokens, transaction identifiers or other payment-provider mechanisms to facilitate authorized recurring payments without requiring Privaata to store customers’ complete payment-card credentials.
Payment processing may therefore be subject to the operational requirements of the applicable payment provider, card network, acquiring institution and issuing financial institution.
7. Cancelling a Paid Subscription
Customers may cancel a standard recurring Privaata subscription at any time.
Cancellation prevents the subscription from automatically renewing for the next billing period. It does not ordinarily terminate access to a billing period that has already been paid.
For example, if a customer purchases a monthly subscription and cancels halfway through the month, the customer will ordinarily retain access to the applicable paid features until the end of that monthly billing period.
Likewise, if a customer cancels an annual subscription before the annual subscription period expires, the customer will ordinarily retain access until the end of the paid annual term.
No further recurring subscription charge should be made after cancellation becomes effective, except for legitimate amounts already outstanding or another transaction separately authorized by the customer.
8. How to Cancel
Where available, customers may cancel through Privaata’s account, subscription or billing settings.
If a customer is unable to complete cancellation through the platform, the customer may contact Kinfolk Technologies Limited at:

A cancellation request must be made by the account holder or another individual authorized to manage the relevant Privaata organization or subscription.
We may take reasonable steps to verify the identity or authority of a person requesting cancellation before modifying a subscription.
Customers should submit cancellation requests sufficiently in advance of their next scheduled renewal to allow the request to be received and processed before that renewal occurs.
9. No General Money-Back Guarantee
Privaata does not offer a general money-back guarantee.
Except where expressly provided in this Policy, required by applicable law, or agreed by Kinfolk Technologies Limited in writing, subscription fees are non-refundable once the applicable paid subscription period has begun.
A customer’s decision to stop using Privaata during a paid subscription period does not create an automatic entitlement to a refund.
Similarly, dissatisfaction with a feature, failure to use available functionality, changes in a customer’s internal circumstances or a decision that Privaata is no longer required does not automatically create a right to a refund.
Nothing in this section limits any right or remedy that cannot lawfully be excluded.
10. No Prorated Refunds for Cancellation
Cancelling a subscription does not ordinarily result in a prorated refund for unused time remaining in the current billing period.
For example, if a customer purchases an annual subscription and cancels four months into the subscription year, the customer will ordinarily retain access for the remaining eight months. The customer will not ordinarily receive a refund for those eight months.
The subscription will instead expire at the end of the annual term and will not renew for another year.
The same principle applies to monthly subscriptions.
This provision does not prevent Kinfolk Technologies Limited from issuing a refund or other remedy in exceptional circumstances under another section of this Policy.
11. Accidental Renewals
Customers are responsible for cancelling automatically renewing subscriptions before their scheduled renewal if they do not wish to continue the service.
Forgetting to cancel a subscription does not automatically create a right to a refund.
However, Kinfolk Technologies Limited recognizes that accidental renewals can occur.
Requests for refunds arising from an alleged accidental renewal will therefore be reviewed on a case-by-case basis.
When evaluating such a request, we may consider factors including:
how quickly the customer contacted us after renewal;
whether and to what extent Privaata was used after renewal;
the customer’s subscription history;
whether a similar refund has previously been requested;
the circumstances surrounding the renewal;
costs or obligations already incurred in providing the service; and
any other circumstances reasonably relevant to the request.
Kinfolk Technologies Limited may approve or decline an accidental-renewal refund based on the circumstances.
Approval of a refund in one case does not create an entitlement to the same outcome in another case.
12. Duplicate Charges
If a customer believes the same subscription transaction was charged more than once unintentionally, the customer should contact us promptly.
We will investigate the relevant payment records.
If we confirm that an unintended duplicate charge was successfully processed, we will take reasonable steps to correct the error, which may include refunding the duplicate payment.
Customers should be aware that temporary authorizations, pending transactions or other banking entries may sometimes appear separately from a completed transaction. The appearance of multiple entries on a statement does not necessarily mean that multiple payments were successfully completed.
We may therefore verify the transaction status before issuing a refund.
13. Incorrect Charges and Billing Errors
Customers should notify Kinfolk Technologies Limited promptly if they believe they were charged an incorrect amount.
Where our investigation confirms that a customer was incorrectly overcharged because of an error attributable to Privaata or our billing process, we will take reasonable steps to correct the error.
Depending on the circumstances, correction may include:
refunding the excess amount;
issuing an appropriate account credit;
correcting the subscription;
correcting the billing record; or
providing another appropriate remedy.
14. Unauthorized Transactions
Customers should promptly notify Kinfolk Technologies Limited if they reasonably believe that a Privaata transaction was unauthorized.
We may request reasonable information necessary to locate the transaction, identify the associated Privaata account and investigate the circumstances.
Customers may also need to contact their card issuer or financial institution regarding suspected unauthorized use of a payment method.
Kinfolk Technologies Limited may temporarily restrict a transaction, payment method or account where reasonably necessary to investigate suspected fraud, unauthorized activity, abuse or a security incident.
15. Refund Requests
Customers requesting a refund should contact:

Where available, the request should include:
the customer’s name;
organization name;
email address associated with the Privaata account;
transaction date;
transaction amount;
invoice, receipt, order or transaction reference;
reason for requesting the refund; and
any supporting information reasonably necessary for us to investigate.
Customers must not email Kinfolk Technologies Limited their complete credit-card number, CVV/CVC security code, account password or other unnecessary sensitive authentication information.
We may request additional information where reasonably necessary to verify the transaction or assess the request.
16. Refund Decisions
Refund requests that are not governed by a mandatory legal right will be assessed according to this Policy and the circumstances of the particular transaction.
Where appropriate, Kinfolk Technologies Limited may:
approve a full refund;
approve a partial refund;
provide an account or service credit;
extend the applicable subscription period;
decline the request; or
provide another reasonable remedy.
The availability of these remedies in this section does not create a general right to a refund.
17. Refund Method
Where a monetary refund is approved, Kinfolk Technologies Limited will ordinarily attempt to return the funds through the original payment method or payment channel, where technically and operationally available.
Refund processing may involve our payment processor, acquiring bank, card network and the customer’s card issuer or financial institution.
Consequently, the time between approval of a refund and the funds appearing in the customer’s account may depend partly on organizations outside Kinfolk Technologies Limited’s direct control.
18. Refund Processing Time
We will endeavour to review legitimate refund requests within a reasonable period.
Where a refund is approved, we will initiate the applicable refund process as soon as reasonably practicable.
The time required for the refunded amount to appear in the customer’s financial account may vary according to the payment processor, card network, acquiring institution and issuing bank.
Kinfolk Technologies Limited therefore cannot guarantee that an approved refund will appear immediately.
Where available, we may provide relevant refund or transaction reference information to assist the customer with an inquiry.
19. Failed or Declined Payments
A failed or declined payment does not create an entitlement to paid Privaata services.
If a subscription payment cannot be successfully processed, Kinfolk Technologies Limited may take reasonable action to resolve the outstanding payment.
This may include:
notifying the customer;
requesting an updated or alternative payment method;
permitting an appropriate retry;
providing a temporary grace period;
limiting paid functionality;
suspending the subscription; or
terminating the subscription if payment remains outstanding.
Any payment retries will be handled in accordance with our payment infrastructure, applicable payment-provider requirements and appropriate fraud-prevention practices.
20. Monthly Subscription Cancellations
When a monthly subscription is cancelled, cancellation ordinarily becomes effective at the end of the current paid monthly billing period.
The customer will ordinarily retain access to the paid subscription until that date.
Unused days remaining in the month are not automatically refunded or prorated.
The subscription will not renew for the following month once cancellation has become effective.
21. Annual Subscription Cancellations
When an annual subscription is cancelled, cancellation ordinarily becomes effective at the end of the current paid annual subscription period.
The customer will ordinarily retain access for the remainder of the annual term.
Unused months remaining in the annual term are not automatically refunded or prorated.
The subscription will not renew for another annual term once cancellation has become effective.
22. Plan Upgrades
Customers may upgrade to a higher Privaata subscription tier where such an upgrade is available.
An upgrade may take effect immediately.
Where an immediate upgrade results in additional subscription fees during an existing billing period, Privaata may calculate an appropriate prorated charge reflecting the upgrade.
The applicable charge should be presented to the customer before the upgrade is confirmed.
After the upgrade, future renewals will be billed according to the price and billing cycle applicable to the upgraded subscription unless otherwise stated.
23. Plan Downgrades
Customers may request a downgrade to a lower Privaata subscription tier where the desired plan is available.
Unless otherwise expressly stated, a downgrade will take effect at the customer’s next renewal date.
The customer will ordinarily retain the features of the current paid plan until that date, and no prorated refund will be provided solely because a downgrade was requested before the end of the billing period.
A downgrade may result in reduced functionality, user allowances, storage, integrations, AI allowances, automation capabilities or other plan-specific features.
Where reasonably practicable, Privaata will inform the customer of material consequences of the downgrade before the change becomes effective.
24. Significant Service Outages
Temporary interruptions, scheduled maintenance, isolated feature failures or short periods of service unavailability do not automatically entitle customers to refunds.
If Privaata experiences a significant service outage or material service failure attributable to Kinfolk Technologies Limited, Kinfolk Technologies Limited may determine an appropriate remedy based on the circumstances.
Depending on the nature, duration and impact of the disruption, that remedy may include:
a service credit;
an extension of the subscription period;
a partial refund;
a full refund; or
another reasonable remedy.
No particular remedy is automatic unless required by applicable law or a separately applicable service-level agreement or contract.
25. Termination by Kinfolk Technologies Limited
Kinfolk Technologies Limited may suspend or terminate access to Privaata where permitted under the Terms of Service or another applicable agreement, including in circumstances involving non-payment, material breach, fraud, unlawful activity, serious misuse or threats to the security or integrity of Privaata or other users.
Where termination results from a customer’s material breach, fraudulent conduct, unlawful activity or serious violation of applicable terms, fees already paid will generally not be refunded unless required by law.
If Kinfolk Technologies Limited permanently terminates a paid service for reasons unrelated to the customer’s conduct and cannot provide the customer with the purchased service for a material portion of an already-paid period, Kinfolk Technologies Limited may provide an appropriate refund, credit, subscription extension or other remedy.
26. Account Closure and Customer Data
Cancelling a paid subscription and deleting a Privaata account are separate actions unless expressly stated otherwise.
Cancellation ordinarily prevents future renewal while allowing the customer to retain access until the end of the current paid subscription period.
The retention, export, deletion or other handling of customer data following expiration, cancellation or termination will be governed by Privaata’s Terms of Service, Privacy Policy, applicable customer agreement and applicable law.
Customers should not assume that cancelling a subscription automatically and immediately deletes all information associated with their Privaata account.
27. Promotional Discounts and Credits
From time to time, Kinfolk Technologies Limited may offer discounts, promotional pricing, credits or other incentives.
Such promotions may be subject to additional terms disclosed when offered.
Unless expressly stated otherwise, promotional credits:
have no cash value;
cannot be exchanged for cash;
may expire in accordance with their applicable terms; and
are not refundable as cash upon cancellation.
If promotional pricing converts to a different recurring subscription price, the applicable pricing terms should be disclosed to the customer before the customer accepts the offer.
28. Price Changes
Kinfolk Technologies Limited may change Privaata subscription prices from time to time.
A price change will not ordinarily retroactively alter the price of a subscription period that has already been paid.
Where a price change will affect a future renewal, Kinfolk Technologies Limited will provide any notice required by applicable law or the customer’s applicable agreement.
If the customer does not wish to continue at the revised price, the customer may cancel the subscription before the revised price becomes applicable.
29. Currency and Foreign Exchange
Privaata will display the applicable transaction currency before payment.
If the customer’s payment card or financial account uses a different currency, the customer’s bank, card issuer or payment provider may perform a currency conversion.
The customer’s financial institution may apply its own exchange rate or impose foreign-exchange, cross-border or other charges.
Rates and charges independently imposed by the customer’s financial institution are outside Kinfolk Technologies Limited’s control and are not ordinarily refundable by Kinfolk Technologies Limited.
30. Taxes
Subscription prices may be subject to applicable taxes, duties or other governmental charges.
Where Kinfolk Technologies Limited is required to collect applicable taxes, those amounts may be added to the subscription price or included in the displayed price, as applicable.
Where a refund is issued, associated taxes will be handled in accordance with applicable law and the tax treatment of the underlying transaction.
31. Chargebacks and Payment Disputes
Customers who believe a billing error has occurred are encouraged to contact Kinfolk Technologies Limited so that we can investigate and, where appropriate, resolve the issue.
Nothing in this Policy prevents a customer from exercising legitimate rights available through a financial institution, card issuer, card network or applicable law.
If a chargeback or payment dispute is initiated, Kinfolk Technologies Limited may provide appropriate records relating to the transaction to the relevant payment processor, acquiring institution, card network or issuing institution for purposes of investigating or responding to the dispute.
Such records may include transaction information, subscription records, invoices, account activity and evidence relating to authorization of the transaction.
Fraudulent or deliberately misleading payment disputes may constitute a violation of Privaata’s Terms of Service.
32. Transaction Records and Receipts
Kinfolk Technologies Limited may maintain records reasonably necessary to administer Privaata subscriptions, reconcile payments, provide customer support, investigate billing issues and comply with applicable legal, accounting and financial obligations.
Customers may receive electronic receipts, invoices or transaction confirmations containing relevant information regarding successful payments.
Transaction records may contain identifiers that allow Kinfolk Technologies Limited and its payment service providers to locate and investigate a payment.
Receipts and ordinary billing communications will not intentionally include complete payment-card numbers, CVV/CVC codes or other sensitive payment authentication credentials.
33. Enterprise and Separately Negotiated Agreements
Kinfolk Technologies Limited may enter into separately negotiated subscription agreements with enterprise, institutional or other customers.
Such agreements may establish different provisions regarding:
subscription terms;
minimum commitments;
billing schedules;
payment terms;
renewal;
cancellation;
service levels;
credits; and
refunds.
Where a valid written agreement between Kinfolk Technologies Limited and a customer expressly conflicts with this Policy, the specific written agreement will govern the relationship to the extent of that conflict.
34. Mandatory Legal Rights
Nothing in this Policy is intended to exclude, restrict or waive any consumer, contractual or other right that cannot lawfully be excluded, restricted or waived.
If applicable law gives a customer a mandatory refund, cancellation or other remedy notwithstanding a provision of this Policy, the applicable legal requirement will prevail to the extent of the conflict.
35. Changes to this Policy
Kinfolk Technologies Limited may update this Refund & Cancellation Policy to reflect changes to Privaata, our subscription model, payment arrangements, business practices or applicable requirements.
When this Policy is updated, the “Last Updated” date at the beginning of the Policy will be revised.
Where required by applicable law or contractual obligation, customers will receive additional notice of material changes.
Changes will not be applied retroactively where doing so would unlawfully deprive a customer of an accrued right.
